IEC AGREEMENT FORM
(Independent Education Consultant)

    The undersigned hereby requests an appointment under the Sunbridge Affiliate Program as an Independent Education Consultant (IEC) to represent the various educational courses offered by the Sunbridge Management Institute and Sunbridge Institute of English (hereinafter referred to as The Sunbridge Institute).  The signee, hereinafter referred to as the IEC, acknowledges that he/she or his/her company is an independent business and not an employee of The Sunbridge Institute, hereinafter referred to as the Company.  Any Tax liability resulting from income paid to the IEC is the responsibility of the IEC and not the Company.

Terms and Conditions

1. The Sunbridge Institute is an educational institution offering various educational courses through the medium of distance or online learning.  A tuition fee is payable by each student registering for a course.  Under our affiliate program, the IEC will receive a commission of 10% of the course tuition fee paid by any student who registers for that course through the IEC.  The IEC's personal identification number must appear on the registration form.

2. The IEC may appoint further IECs and will receive a commission of 5% of any courses registered through those IECs (down five levels with the IEC being the first level).  All commissions will be paid by the first Friday of the month following receipt and deposit of the tuition.  The Company will make every effort to minimize the time between receipt of the tuition and forwarding of commissions.

3. The IEC shall at no time hold himself out as an employee of the company nor offer any terms or contitions othere than those offered by the company.

4. Any advertising done by the IEC which bears the name of the Company must first be approved by the Company.

5. No one is required to purchase or participate in any course offered by the Company as a condition of becoming an affiliate IEC.  The IEC understands and agrees that in the event he makes this a condition of appointing a downline IEC, the Company will consider this as a breach of contract.  The IEC will forfeit his status as an affiliate IEC and may forfeit all future commissions from his downline, at the discretion of the Company.

6. The IEC may appoint downline IECs in any country or territory where there is no law to prohibit doing so.

7. The IEC will be representing the educational courses offered by an educational institute and, as such, will at all times act in compliance with the law and common business ethics.

8. There is no fee associated with becoming an affiliate IEC.

9. The Company agrees to accept registrants for its courses through the IEC provided the IEC is in good standing and the registrant meets any prerequisites.  Some courses may have prerequisite educational requirements.  In such cases, the registrant must meet those requirements to be accepted as a student.

10.  If accepted by the Company, this agreement will remain in effect in perpetuity. The IEC may terminate the agreement at any time but understands that in doing so, no further payments will be made from the date of termination. The Company reserves the right to terminate the agreement for breach of contract, unseemly behavior or by mutual agreement.
